Sonia Abrol

Sonia Abrol is the founder of Sarvaya Legal. She started her career in 2008 with Amarchand & Mangaldas & Suresh A Shroff & Co., Mumbai followed by a stint at Fox & Mandal, Noida and spent the next seven years of her career as a corporate lawyer at Lakshmikumaran & Sridharan, Delhi.

Sonia has been practicing corporate law since 2008 and has an extensive experience in advising Indian as well as offshore clients from various jurisdictions such as USA, Europe, China, Japan etc. She specializes in labour and employment laws including employment agreements, non-compete and non-solicitation agreements, employee handbooks, secondments, confidentiality provisions, social security issues and the POSH Act, regulatory issues such as plastic waste management and e-waste management and dealing with the Reserve Bank of India (RBI), the erstwhile Foreign Investment Promotion Board of India (FIPB), the Bureau of Indian Standards (BIS), the Ministry of External Affairs, the Ministry of Home Affairs, and the Ministry of Railways.

Sonia has handled various mergers and acquisitions (both inbound and outbound), restructuring and joint venture transactions, a lot of which have been reported from time to time. She has advised several clients on the foreign exchange laws of India, corporate governance issues (including related party transactions and revamping internal control), crisis management, real estate issues, drafted and vetted commercial contracts including various types of service contracts, supply agreements, lease deeds, distributor agreements.

In addition, Sonia is an expert on rendering advice to both Indian and offshore clients on setting up compliance mechanisms, director’s liabilities and risk mitigation measures, litigation and arbitration management, legal strategies to be adopted and framing various policies, incorporating companies which may be special purpose vehicles, advising on pre and post investment compliances in line with Indian statutes and regulations and conducting legal audits and due diligence.

Several articles authored by Sonia on a wide range of subjects including the foreign direct investment policy of India, the Companies Act, 2013 and the Consumer Protection Act, 2019 have been published on various platforms such as the Chartered Secretary, Mondaq and IFLR. She has also been contributing to the ‘Global Practice Guides’ on Chambers and Partners.
